BYLAWS
OF THE
VIEWMONT HIGH SCHOOL ALUMNI ASSOCIATION
ARTICLE I
PURPOSES: The purposes of the Viewmont High School Alumni Association are to: (1) support Viewmont High School in maintaining traditions of excellence and a commitment to learning, (2) mentor students, (3) recognize alumni and their achievements, and (4) serve as a resource base or data base for alumni. The Directors and Officers shall at all times act for the accomplishment and attainment of the purposes of the organization.
ARTICLE II
OFFICES: The principal office of the organization shall be located at Viewmont High School in Bountiful, Utah unless changed by a vote of a majority of the directors or members. The organization shall at all times abide by and follow the rules and regulations for the use of the facilities at Viewmont High School.
ARTICLE III
MEMBERS: All alumni of Viewmont High School, residents in the area of Viewmont High School over the age of 19 who apply, and other invited friends shall be members of the organization.
ARTICLE IV
DIRECTORS: The organization shall be governed and managed by a Board of Directors. The Directors shall have all necessary powers to accomplish the purposes of the organization. The number of Directors shall be not less than 8 or more than 15. The principal or his designee shall be an ex-official member of the Board of Directors and shall be entitled to vote. The current Senior Class President or designee shall be a voting member. Directors shall be chosen from time to time from members and shall serve for a term of 3 years and may succeed themselves. The Board shall select one of its members to be Chairman, who shall preside and conduct all meetings and a Secretary to keep minutes and other documents. Each Director shall have one vote and a majority of votes shall control any decision, unless a higher number of votes is required.
Regular meetings of the Board of Directors shall be held on the third Wednesday of each month, unless such date falls on a holiday or there is another conflict, in which event, the date shall be changed to another convenient date. Special meetings of the Board may be called at any time by 33% of the directors. Directors may adopt such rules and regulations for the conduct of their meetings as they deem proper. A majority of the directors shall constitute a quorum for conducting any business. Action may be taken without a meeting if a consent is signed in writing by all Directors. Any Director in attendance at a meeting of the Board is presumed to have voted in favor of any action taken unless his or her dissent is noted in the minutes.
Any Director or Officer may be removed by the Board, with or without cause, by a majority vote of the remaining Directors. Failure for a Director to attend more than 50% of the meetings in any given 12 month period shall be deemed a resignation by the offending Director. Any vacancies on the Board of Directors or Officers may be filled by the remaining Directors even though less than a quorum is present.
Representatives of each of the respective classes that have graduated from Viewmont High School shall automatically be Ex-official members of the Board but shall have no vote.
All meetings shall be open to all members, friends, students and the public.
ARTICLE V
OFFICERS: There shall be a President, who may also simultaneously be Chairman of the Board of Directors, one or more Vice Presidents, (one of whom shall be the President-Elect) and a Secretary, (who may also simultaneously be the secretary of the Board of Directors). The term of any officer shall be set by the Board. The President’s duties include speaking for the organization, signing checks, documents, loans and other legal contracts and such other duties prescribed by the Board of Directors. The Vice President’s duties include any duty of the President when the President is not available and such other duties as proscribed by the Board of Directors. The Secretary’s duties are to keep accurate minutes of all meetings, decisions, and actions of the organization, co-sign checks, legal documents and contracts, give notices for all meetings and perform such other duties as proscribed by the Board of Directors.
The organization may designate committees comprised of Officers and /or Directors and general membership for any purpose, subject to the final approval of the Board before any action is taken by the organization.
ARTICLE VI
AMENDMENT: These bylaws may be amended, repealed, modified or changed by a vote of two thirds (66 2/3%) of the Directors at a duly convened meeting for that purpose.
ARTICLE VII
FINANCES: The finances and monies of the organization shall be kept at Viewmont High School and shall be disbursed with the signature of at least (2) officers and a Viewmont representative (the principal or his designee). The funds shall only be used for the charitable, educational and stated purposes of the organization. Officers and Directors shall be held to a reasonable person standard in handling the finances and affairs of the organization and shall be indemnified by the organization unless there is gross negligence, recklessness or criminal conduct in managing and administering the affairs of the organization. No officer or Director shall be personally liable for any of the debts, liabilities and obligations of the organization. All funds received shall de deposited in the account at Viewmont High School.
IN WITNESS WHEREOF, these Bylaws are hereby adopted this 13th day of January, 2008 by a quorum of the Directors present at a meeting called for that purpose.
